Terms & Conditions

These Terms and Conditions (the “Terms”) govern your purchase and use of any programme, bootcamp, short programme, career programme, module, service, or product offered by Uptrail Ltd (“Uptrail”, “we”, “us”, “our”). By enrolling in any of our programmes, you agree to be bound by these Terms.

These Terms are written in UK English and governed by the laws of England and Wales.

About Uptrail Ltd

Uptrail Ltd is a company registered in England and Wales under company number 16404147, with its registered office at Unit 3A, 34–35 Hatton Garden, Holborn, London, EC1N 8DX. We operate remotely and provide online learning and career development programmes for early-career professionals.

1. Definitions

“Bootcamp / Short Programme” means a time-boxed, mentor-led training programme that focuses on targeted skills (e.g., Digital Marketing Bootcamp, Business Analyst Bootcamp, CompTIA Data+ Programme).

“Career Programme” means a longer, immersive training pathway that blends structured learning, projects and career support (e.g., Data Analyst Career Programme) and may include a conditional Job Guarantee as set out in Clause 13.

“Course Materials” means all learning materials, project briefs, templates, recordings, handouts, documents, slide decks, assessments and any other content we provide, whether via email, Discord, learning portal, or otherwise.

“Enrolment Date” means the date on which we confirm your place on a programme in writing (email or portal confirmation).

“Exam Fee” means any third-party examination cost (e.g., CompTIA voucher, vendor exam, proctoring), which for the Job Guarantee Programme is set at £600 and is non-refundable (see Clause 9 and 13).

“Job Guarantee” means the conditional money-back promise set out in Clause 13 for eligible learners on a Career Programme explicitly marketed by us as “Job Guaranteed or 100% Tuition Refund”.

“Right to Work” means you hold British citizenship, Indefinite Leave to Remain (ILR), or a UK immigration permission that provides a minimum of five (5) years remaining leave without sponsorship requirements. See Clause 13.2 for full eligibility.

“Student / You” means the individual who enrols on our programmes.

“Job Guarantee Period” means the six (6) calendar months immediately following the date of the participant’s Career Discussion with Uptrail’s recruitment team.

“Qualifying Job Offer” means a paid employment offer or contract role in the UK within the participant’s chosen programme field (e.g., data, business, or digital domain), with a minimum duration of three (3) months and at least twenty (20) working hours per week.

2. Our Contract with You

2.1. Your Order is an offer to purchase a programme or service under these Terms. Our acceptance occurs when we send written confirmation of Enrolment.

2.2. We may update these Terms periodically. The version in force on your Enrolment Date applies to your purchase unless a change is required by law or regulator.

2.3. Marketing materials describe programmes generally; the binding terms are those in this document and any specific programme listing on our website at the time of your Enrolment.

2.4. Nothing in these Terms affects your statutory rights.

 

3. Programme Types and Delivery

3.1. Bootcamps / Short Programmes: Typically 5–12 weeks, mentor-led, with live/recorded sessions, projects and career guidance. Certificate(s) of Completion may be awarded on satisfactory participation.

3.2. Career Programmes: Longer pathways that include structured learning, projects, and career services. Certain Career Programmes may offer a “Job Guaranteed or 100% Tuition Refund” subject to strict eligibility and conditions (Clause 13).

3.3. Mode of delivery: Unless stated otherwise, all programmes are delivered remotely/online. You are responsible for meeting the stated technical requirements and arranging your own device and internet access.

3.4. Access to any Course Materials, Discord/community, live or recorded sessions constitutes delivery of the service.

3.5. Certificates: Certificates issued by Uptrail are statements of completion and are not formal qualifications regulated by Ofqual or any awarding body unless explicitly stated.

4. Price & Payment

4.1. Programme fees (the “Tuition Fee”) are listed on our website and/or in your offer letter. Prices include VAT where applicable and are stated in pounds sterling (GBP).

4.2. Payment is due in advance unless you are on an approved instalment plan or credit arrangement. Missed or late instalments may incur administrative fees and may restrict access to services (including assessments or exam bookings).

4.3. Payment Plan Conditions: If a payment plan or instalment arrangement is offered, you agree to pay all instalments on or before their due dates. - Failure to make timely payment may result in suspension of access to learning platforms, classes, and community channels until payment is received.
- Repeated late payments or non-payment may lead to termination of enrolment without refund.
- We reserve the right to charge reasonable administrative or collection fees for overdue amounts.
- Participation certificates, recommendation letters, or career services may be withheld until all outstanding fees are fully settled.

4.4. Where a package includes external exams, a minimum payment threshold may be required before a voucher can be issued.

4.5. If we owe you a refund under these Terms, it will be made to the original payment method within fourteen (14) days of confirming eligibility, unless otherwise required by law. All refunds are subject to a fixed deduction of five percent (5%) to cover third-party payment gateway and processing fees, which are non-refundable under any circumstance.

5. Your Obligations

5.1. Provide accurate information during application and enrolment, including Right to Work evidence where relevant to the Job Guarantee.

5.2. Engage professionally with mentors, staff, partners and peers. Disrespectful conduct or academic dishonesty may lead to removal from the programme without refund (see Clause 14 and 19).

5.3. Meet attendance, participation, assessment and project requirements specified for your programme.

6. Consumer Cooling-Off (Distance Selling)

6.1. If you purchase as a consumer under the Consumer Contracts Regulations 2013, you may cancel within fourteen (14) days of purchase provided you have not accessed any Course Materials, community spaces, or attended/viewed live/recorded sessions. Access beyond the login point constitutes use of the service and waives the right to cancel under the Regulations.

6.2. Where you cancel within the fourteen (14)-day period and have not accessed the service, we will refund amounts paid, less any payment processor fees, within fourteen (14) days.

7. Refund, Cancellation & Deferral Policy (General)

7.1. Change of mind (outside statutory fourteen (14) days): Once you have accessed any part of the programme (including Discord/community, live or recorded sessions, Course Materials, projects), the Tuition Fee becomes non-refundable, subject to Clause 9 (service issues) and Clause 13 (Job Guarantee Tuition Refund). Please note that third-party payment gateway fees are non-refundable. Any approved refund will automatically have five percent (5%) deducted to cover transaction and administrative costs.

7.2. Deferrals: You may request a one-time deferral to a future cohort if: (a) requested at least 48 hours before the first live session; and (b) you have not accessed Course Materials or community platforms. Deferrals are subject to availability and must normally be used within 3 months. After a deferral is granted, no refunds are available for that enrolment.

7.3. Transfers: Enrolments are personal to you and non-transferable to another person. We may, at our discretion, allow switching to another programme within seven (7) business days of Enrolment, subject to price differences and revocation of access to original materials.

8. Technology & Access Issues

8.1. We will support you to resolve access difficulties that are within our control.

8.2. We are not responsible for issues caused by your device, internet connectivity, firewalls, or third-party platform outages. Refunds are not issued for such issues unless we fail to provide access for reasons within our control within a reasonable timeframe (typically three UK business days).

9. Exams, Vouchers & Third-Party Costs

9.1. Exam Fees are non-refundable once a voucher is allocated/booked. For the Job Guarantee Programme, a £600 Exam Fee applies and is non-refundable in all cases, including Job Guarantee Tuition Refunds (Clause 13.6).

9.2. You must meet any vendor prerequisites and exam rules. Only one voucher per exam is provided where included. Resits may require additional fees unless expressly included.

9.3. Exam bookings may require your account to be in good financial standing (e.g., a minimum percentage of instalments paid).

10. Delivery of Services & Materials

10.1. We aim to provide access details within 3–5 days of enrolment unless a later start is communicated.

10.2. We may deliver services in stages. Time is not of the essence unless expressly agreed in writing.

11. Intellectual Property

11.1. All Course Materials and website content are owned by Uptrail or our licensors and are provided solely for your personal learning. You may not copy, share, or distribute materials except as expressly permitted.

12. Data Protection & Privacy

12.1. We process personal data in accordance with UK GDPR. See our Privacy Policy for details. All learner data is securely stored on servers located in the United Kingdom and/or European Union.

13. Job Guarantee – Eligibility, Conditions & Tuition Refund (Career Programmes only)

This clause applies only where a Career Programme is expressly marketed as “Job Guaranteed or 100% Tuition Refund.”

13.1 Overview

The Job Guarantee is a conditional promise that if you meet all eligibility criteria and programme requirements, and we do not facilitate a qualifying job offer within the Job Guarantee Period, we will refund 100% of your Tuition Fee. Exam Fees and third-party costs are excluded from any refund (see 13.6).

13.2 Eligibility – Right to Work (strict)

To be eligible at enrolment and throughout the Job Guarantee Period, you must hold one of the following: - British citizen; or - Indefinite Leave to Remain (ILR); or - A UK immigration permission with at least 3 (three) years leave remaining without employer sponsorship requirements.

Not eligible for Job Guarantee: Individuals on Student visas, Graduate/PSW visas, or any immigration permission that requires employer sponsorship or has less than 3 years remaining leave. We will still provide the same training and career support to these learners, but the Job Guarantee will not apply.

13.3 Programme Completion Requirements

You must: (a) Fully complete all learning modules, project work, in-house assessments, mock interviews and any “career preparation” checkpoints we specify; (b) Attend required mentor sessions and recruitment coaching; and (c) Maintain professional conduct (Clause 14) and keep your account in good standing (no arrears; no repeated payment defaults).

13.3.A Examination and Certification Requirements

Certain Career Programmes require participants to pass designated examinations or obtain related certifications (for example, CompTIA Data+). The Job Guarantee applies only if all mandatory exams are successfully passed within the specified timeframe.

If you do not pass, attempt, or complete the required examinations, we will continue to provide standard career guidance and job-search assistance where possible; however, the Job Guarantee and any associated refund rights will not apply.

Job opportunities and introductions may also vary based on your skills, completed assessments, project performance, and examination outcomes.

13.4 Career Discussion & Job Guarantee Period

Upon successful completion of the learning and CV rebuild, you will have a Career Discussion with our recruitment team. From the date of that discussion, we have six (6) months to help you secure a Qualifying Job Offer in your field.

13.5 Your Job Search Obligations

Throughout the Job Guarantee Period, you must: (i) Apply consistently to roles we recommend and to a reasonable number of relevant roles each week; (ii) Respond promptly to communications from us and partner employers; (iii) Attend all interviews offered, unless you provide a valid reason with evidence; (iv) Be willing to consider remote, hybrid or on-site roles within a reasonable commuting radius of your UK address; (v) Not misrepresent your skills, experience or Right to Work; and (vi) Keep your LinkedIn/CV up to date following our guidance.

13.6 Refund Scope (Tuition only)

If no Qualifying Job Offer is made within the Job Guarantee Period despite you meeting all conditions, we will refund 100% of your Tuition Fee. The following are not refundable: Exam Fees (£600), vendor vouchers, proctoring/lab fees, payment processor charges, and any ancillary third-party costs.

13.7 Exclusions & Voids

The Job Guarantee will be void if you: - Fail to meet the Right to Work eligibility in 13.2 at any time during the Job Guarantee Period; - Miss interviews without valid reason; - Decline a reasonable offer; - Fail to engage in applications as guided; - Exhibit unprofessional conduct (Clause 14); or - Provide materially inaccurate information in your application or during the programme. - Fail to maintain timely payments or have any overdue balance during the Job Guarantee Period.

13.8 Claiming a Tuition Refund

To claim, email contact@uptrail.co.uk within fourteen (14) days after the Job Guarantee Period ends, attaching evidence that you met all requirements (attendance, deliverables, application logs, interview communications). We may review recordings/records to verify. If approved, the Tuition Fee will be refunded within fourteen (14) days.

14. Professional Conduct

14.1. You must conduct yourself respectfully with mentors, staff, partners and peers.

14.2. We may withhold introductions to employer partners where professional standards are not met. Serious or repeated breaches may void the Job Guarantee and/or result in removal from the programme without refund.

15. Liability

15.1. Nothing limits liability for death or personal injury caused by negligence, fraud or other liabilities that cannot be limited by law.

15.2. We are not liable for indirect or consequential losses, loss of profits, business, or goodwill. Our total aggregate liability to you is limited to the amount of Tuition Fee(s) you paid in the twelve (12) months preceding the claim.

16. Intellectual Property & Use Restrictions

16.1. Course Materials are supplied for your individual learning only and may not be copied, shared or republished.

17. Complaints & Dispute Resolution

17.1. If you are unhappy with our services, please contact contact@uptrail.co.uk.

17.2. If a dispute cannot be resolved informally, we may agree to mediation via an approved ADR provider. These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Any proceedings will take place in the courts located in London, United Kingdom.

18. Miscellaneous

18.1. Communications may be by email, online chat, telephone or Discord. All electronic communications shall constitute communications in writing.

18.2. We may update content, schedules or delivery modes to comply with law or improve quality, provided changes do not materially reduce the overall learning outcomes.

18.3. If any term is found unenforceable, the remainder remains in force.

18.4. No third party has rights to enforce these Terms.

18.5. Force Majeure: We shall not be liable for delays or failures in performance arising from events beyond our reasonable control, including but not limited to natural disasters, power failures, cyberattacks, strikes, government restrictions, or pandemics.

18.6. Updates: We may update these Terms from time to time. The latest version will be posted on our website, and your continued participation after publication constitutes acceptance of any such updates.

18.7. Entire Agreement: These Terms constitute the entire agreement between you and Uptrail Ltd concerning your enrolment and supersede all prior discussions, marketing materials, or representations.

19. Academic Integrity & Code of Conduct

19.1. Plagiarism, cheating, harassment, discrimination, or abuse of community guidelines may result in removal without refund. Where applicable, such conduct voids the Job Guarantee.
